Terms of Use — Kodra Sidrix: Sidrena cijena
1. Provider
The “Kodra Sidrix: Sidrena cijena” app (the “App” or the “Service”) is provided by Enigma 101 global j.d.o.o., Gajeva ulica 42, 10000 Zagreb, Croatia, OIB 03945849423, VAT ID HR03945849423, registration number (MBS) 081673164, registered with the Commercial Court in Zagreb, represented by Primož Iršič, share capital 10,00 EUR (the “Provider”). Contact: info@enigma101.com.
2. Acceptance and users
By installing the App in a Shopify store, the merchant (the “Merchant”) accepts these Terms and the Privacy Policy. The person installing the App on behalf of the Merchant represents that they are authorised to bind the Merchant.
The Service is intended exclusively for businesses (B2B). Consumer protection provisions do not apply.
In addition to these Terms, Shopify's terms apply to the use of the platform; the Provider has no influence over them.
3. Description of the Service
The App helps the Merchant comply with the Croatian Decision on Displaying the Additional Price and the Decision on Publishing Price Lists (OG 101/2026). The Service includes:
- entering, importing and confirming the anchor (additional) price per product variant, with an audit trail of the source and the person who confirmed it;
- displaying the anchor price in the store theme (product page block and app embed for product lists);
- generating a machine-readable price list (CSV) with the prescribed file name and sequence number, automatic publication on working days before 08:00 (Europe/Zagreb), and public publication and archive on the store domain via Shopify App Proxy;
- e-mail alerts and a dashboard showing compliance status.
The Provider may improve and change the Service's features. A material reduction of functionality will be announced at least 30 days in advance.
4. Subscription, trial and billing
Plan prices and the length of the free trial are shown on the App's Shopify App Store listing and in the App before the subscription is confirmed.
Billing is handled by Shopify through the Merchant's Shopify account, in the currency and with the taxes applied by Shopify. The subscription renews automatically for each billing period while the App is installed.
The Merchant cancels the subscription by uninstalling the App. Periods already billed are not refunded, unless Shopify's rules require it or the Provider decides otherwise in an individual case.
The Provider may change prices with at least 30 days' notice; the change applies from the next billing period after that notice period.
5. Merchant obligations and responsibility
The Merchant is subject to the price display regulations and remains fully responsible for complying with them. The App is a tool, not a substitute for the Merchant's own checks. The Merchant undertakes to:
- enter and confirm only accurate anchor prices that actually applied on the reference date, based on reliable sources (exports, orders, archived snapshots or its own records);
- choose the correct reference date (10 Sep 2026, or 2 May 2025 for merchants already obliged under OG 75/25) and enter correct outlet details;
- verify that the anchor price is actually displayed in the live theme wherever a price is shown, including third-party themes, sections and apps (e.g. bundles, upsells, quick view) that the App does not control;
- keep the store publicly accessible (no password) and not block automated programs from the price list path;
- place links to the price list and archive in a visible location on the website (e.g. the footer);
- monitor the dashboard and alerts regularly and act immediately if publication fails;
- keep its Shopify account secure and be responsible for actions of users it has granted access.
The App never automatically records today's price as the price on the reference date. The exception is products and variants created after the reference date, for which the price on the first day of sale is recorded, as the regulation provides.
6. No legal advice
Information in the App, documentation and communications from the Provider is general in nature and does not constitute legal advice. Interpretation of regulations and responsibility for compliance rest with the Merchant. In case of doubt the Merchant should consult the competent ministry, inspectorate or a legal adviser.
7. Availability
The Provider uses reasonable efforts to keep the Service available and to publish the price list every working day before 08:00, with several automatic attempts and an alert to the Merchant if publication fails. The Provider does not guarantee uninterrupted, error-free availability.
Availability may be affected by circumstances beyond the Provider's control, including outages or changes at Shopify, hosting providers, networks or other third parties, and force majeure. Planned maintenance is carried out outside business hours where possible.
The anchor price display in the store is rendered by Shopify from data stored in the store, so it generally keeps working even when the App's server is temporarily unavailable.
8. Limitation of liability
To the maximum extent permitted by law:
- the Provider is not liable for fines, misdemeanour or administrative measures imposed on the Merchant or its responsible person, unless they are a direct result of the Provider's intent or gross negligence;
- the Provider is not liable for indirect or consequential damage, lost profit, loss of revenue, data or reputation;
- the Provider is not liable for damage caused by inaccurate or incomplete data entered or confirmed by the Merchant, by third-party themes, apps or changes, or by unavailability of the Shopify platform;
- the Provider's total liability on any legal basis is limited to the fees paid by the Merchant for the Service in the 12 months preceding the event giving rise to the damage.
These limitations do not apply to damage caused intentionally or by gross negligence, to damage from injury to life, body or health, or in other cases where liability cannot be excluded or limited under applicable law.
9. Intellectual property
The App, its code, design and documentation are owned by the Provider or its licensors. The Merchant is granted, for the duration of the subscription, a non-exclusive, non-transferable right to use the App for its own store.
The Merchant's data (products, prices, price lists, audit trail) remains the Merchant's property. The Merchant grants the Provider the right to process that data to the extent necessary to provide the Service.
Copying, reverse engineering, reselling, using the App to build a competing product or abusing it (e.g. overloading the server) is prohibited.
10. Processing of personal data (Art. 28 GDPR agreement)
Insofar as the Provider processes personal data on behalf of the Merchant (the Merchant being the controller and the Provider the processor), the parties agree as follows:
- Subject matter and duration: providing the Service while the App is installed, until data is deleted after uninstallation.
- Nature and purpose: storing, displaying and deleting data necessary for the Service (anchor price audit trail, settings, alert e-mail).
- Categories of data subjects and data: the Merchant's staff and contractors — name of the person confirming entries, alert e-mail address, time of actions. The Merchant's customers' data is not stored.
- The Provider processes data only on the Merchant's documented instructions, which consist of these Terms and the settings in the App, unless required otherwise by law.
- The Provider ensures that persons authorised to process the data are bound by confidentiality and implements the measures under Art. 32 GDPR described in the Privacy Policy.
- The Merchant grants general authorisation to engage the sub-processors listed in the Privacy Policy. The Provider notifies the Merchant at least 15 days before adding or replacing a sub-processor; the Merchant may object on reasonable grounds or terminate by uninstalling. The Provider imposes equivalent data protection obligations on sub-processors.
- The Provider assists the Merchant in responding to data subject requests and in meeting its obligations under Arts. 32–36 GDPR, taking into account the nature of processing.
- The Provider notifies the Merchant of a personal data breach without undue delay and at the latest within 48 hours of becoming aware of it.
- On termination of the Service the Provider deletes personal data as described in the Privacy Policy, unless the law requires storage.
- On request, the Provider makes available the information necessary to demonstrate compliance with Art. 28 GDPR and allows reasonable audits with at least 30 days' notice and at the Merchant's cost.
11. Term and termination
The agreement starts on installation of the App and lasts while the App is installed.
The Merchant may terminate at any time by uninstalling. Uninstalling stops public price list publication on the store domain; before that the Merchant must arrange another way to meet the legal obligation and download the archive if needed.
The Provider may suspend or terminate access if the Merchant materially breaches these Terms, fails to pay or abuses the Service, with prior notice where reasonably possible. The Provider may discontinue the Service with at least 60 days' notice.
12. Changes to the Terms
The Provider may amend these Terms. Material changes will be published on this page and communicated to Merchants in the App or by e-mail at least 30 days before they take effect. Continued use after that period constitutes acceptance; a Merchant who disagrees may uninstall the App before then.
13. Governing law and disputes
These Terms are governed by the laws of the Republic of Croatia, excluding its conflict-of-law rules. The parties will try to resolve disputes amicably; failing that, the competent court in Zagreb has jurisdiction.
14. Final provisions
If any provision is found void or unenforceable, the remaining provisions stay in force and the void provision is replaced by a valid one closest to its purpose.
These Terms are published in Croatian and English. In case of discrepancies the Croatian version prevails.
Notices to the Merchant are delivered in the App or to the Merchant's e-mail address; notices to the Provider to info@enigma101.com.
